Welcome to Learnzy (“Platform”), a subsidiary of Movifi Marketing Private Limited, based in Pune, Maharashtra. By accessing or using our website and services, you (“User” or “you”) agree to comply with these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, you must discontinue use of our services.

 

1 . Acceptance of Terms

1.1 Binding Agreement: These Terms form a legally binding agreement between you and Learnzy (collectively “we,” “us,” or “our”) governing your access to and use of the Platform and its content, including any course materials, videos, text, images, or other information.

1.2 Modifications to Terms: We reserve the right to modify or update these Terms at any time without prior notice. Any changes will become effective immediately upon posting on the Platform. Your continued use of the Platform after the posting of revised Terms indicates your acceptance of the changes.

1.3 Age Requirements: By using the Platform, you confirm that you are either at least 18 years of age or have obtained parental/guardian consent if you are between 13 and 18 years of age. If you are under 13, you may not use our services.


2. Scope of Services

 2.1  Self-Paced Courses: Learnzy provides self-paced, pre-recorded video courses and other educational materials designed to enhance lifestyle skills for India’s Gen Z audience.

 2.2  No Guarantee of Results: We strive to provide high-quality content, but we do not guarantee any particular results or outcomes from the use of our courses. Each individual’s success depends on various factors beyond our control.

 2.3  No Professional Advice: The content provided on our Platform is for educational and informational purposes only. It does not constitute professional, medical, or legal advice. Always seek the guidance of qualified professionals when necessary.


3. User Accounts

3.1 Registration: You may be required to create an account to access certain features of the Platform. During registration, you agree to provide accurate, current, and complete information. You are responsible for keeping your account information up to date.

3.2 Account Security: You are responsible for maintaining the confidentiality of your login credentials. Any activity performed using your account credentials is your responsibility, whether or not authorized by you.

3.3 Multiple Accounts Prohibited: You may not create multiple accounts for illegitimate reasons or misuse the Platform. We reserve the right to terminate any account suspected of fraudulent or malicious behavior.


4. Intellectual Property Rights

4.1 Ownership: All content, course materials, graphics, logos, designs, and trademarks on the Platform (“Content”) are the property of Learnzy or its licensors and are protected by applicable intellectual property laws.

4.2 License to Use: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and view the Content solely for your personal, non-commercial use.

4.3 Restrictions: You agree not to:

  2. Reverse engineer, decompile, or disassemble any software or technology used to provide the Platform.

5. User Conduct

  1. 5.1 Lawful Use: You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations.

    5.2 Prohibited Activities: You agree not to:

    1. Engage in any activity that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable.
    2. Upload or share content that contains viruses, malware, or any other harmful components designed to interrupt, destroy, or limit the functionality of the Platform.
    3. Interfere with, disrupt, or attempt to gain unauthorized access to our servers, networks, or other user accounts.
    4. Use the Platform to transmit any unsolicited advertising, promotional materials, or spam.

    5.3 User-Generated Content: If the Platform allows users to submit comments, feedback, or other content (“User Content”):

    1. You represent and warrant that your User Content is lawful, accurate, and does not infringe any third-party rights.
    2. By submitting User Content, you grant Learnzy a worldwide, royalty-free, non-exclusive, transferable license to use, reproduce, modify, distribute, and display such content in connection with our services.

6. Disclaimers of Warranties

6.1 “As Is” Basis: The Platform and all Content are provided “as is” and “as available,” without warranties or conditions of any kind, either express or implied.

6.2 No Warranty of Accuracy: We do not warrant that the information provided on the Platform is accurate, complete, reliable, current, or error-free.

6.3 No Guarantee of Uninterrupted Service: We do not guarantee that the Platform will be free from interruptions, secure, or free of errors, viruses, or other harmful components.


7. Limitation of Liability

7.1 Exclusion of Damages: To the fullest extent permitted by applicable law, Learnzy and its affiliates, directors, officers, employees, agents, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of (or inability to use) the Platform.

7.2 Maximum Liability: In any event, our total liability to you for all claims arising from or relating to your use of the Platform shall not exceed the amount paid by you to Learnzy (if any) for the particular course(s) that gave rise to the claim within the six (6) months preceding the event giving rise to the liability.

7.3 Jurisdictional Restrictions: Some jurisdictions do not allow certain limitations of liability, so the above limitations may not apply to you if prohibited by law in your region.


8. Indemnification

8.1 Your Responsibility: You agree to defend, indemnify, and hold harmless Learnzy, its parent company (Movifi Marketing Private Limited), and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  1. Your breach of these Terms;
  2. Your use of the Platform or Content;
  3. Your violation of any third-party rights, including intellectual property or privacy rights; or
  4. Any illegal or fraudulent activity conducted by you.

9. Termination

9.1 Right to Terminate: We reserve the right to suspend or terminate your account and/or access to the Platform at any time, for any reason, and without notice if we reasonably believe you have violated these Terms.

9.2 Effects of Termination: Upon termination, your right to access and use the Platform will immediately cease. Any Sections of these Terms that by their nature should survive termination (such as intellectual property rights, disclaimers, and limitations of liability) will remain in effect.


10 . Governing Law and Dispute Resolution

10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

10.2 Jurisdiction: The courts located in Pune, Maharashtra, India, shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or your use of the Platform.


11 Miscellaneous

11.1 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

11.2 No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

11.3 Entire Agreement: These Terms constitute the entire agreement between you and Learnzy regarding the subject matter and supersede any prior agreements or understandings.

11.4 Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.
